1. Definitions and Interpretation


1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions shall have the meanings assigned to them:
“Company” refers to Oxford Scientia, its successors, and assigns.
“Client” means any individual, organisation, or entity that engages the Company for its services.
“Services” refers to the insights, data, reports, and consultancy provided by the Company.
“Agreement” refers to the contract formed between the Company and the Client, governed by these Terms and Conditions.

 

2. Scope of Services


2.1 The Company agrees to provide the Services as specified in the Agreement.
2.2 All deliverables will be prepared with reasonable skill and care, in accordance with industry standards.
2.3 Any additional requests beyond the agreed scope will be subject to a separate agreement and may incur additional fees.

 

3. Client Responsibilities


3.1 The Client shall provide all necessary information, data, and access required for the Company to perform the Services.
3.2 The Client is responsible for ensuring that any data supplied to the Company is accurate and complete.
3.3 Delays or inaccuracies in Client-provided information may impact the delivery timeline or outcomes, for which the Company shall not be liable.

 

4. Fees and Payment


4.1 Fees for the Services shall be as outlined in the Agreement or accompanying documentation.
4.2 Payments are due within 30 days of invoice issuance unless otherwise agreed in writing.
4.3 Late payments may incur interest at a rate of 4% above the Bank of England’s base rate.

 

5. Intellectual Property


5.1 All intellectual property rights in materials, reports, and data provided by the Company remain the property of the Company unless otherwise agreed in writing.
5.2 The Client is granted a non-exclusive, non-transferable licence to use the deliverables for the purposes agreed upon in the Agreement.
5.3 The Client shall not distribute, modify, or sell any materials provided by the Company without prior written consent.

 

6. Confidentiality


6.1 Both parties agree to keep confidential any information disclosed during the performance of the Agreement.
6.2 This obligation does not apply to information that is publicly available, disclosed by law, or independently developed.

 

7. Liability and Indemnity


7.1 The Company shall not be liable for any indirect, consequential, or economic loss arising from the Services.
7.2 The total liability of the Company in connection with any claim shall not exceed the total fees paid under the Agreement.
7.3 The Client agrees to indemnify the Company against any claims, losses, or damages arising from misuse of the deliverables or breaches of the Agreement.

 

8. Termination


8.1 Either party may terminate the Agreement with 30 days’ written notice.
8.2 The Company reserves the right to terminate the Agreement immediately if the Client breaches any term of this Agreement or becomes insolvent.
8.3 Upon termination, the Client shall pay for all Services rendered up to the termination date.

 

9. Force Majeure


9.1 The Company shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, or government actions.

 

10. Governing Law and Jurisdiction


10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

11. General Provisions


11.1 Any amendments to these Terms and Conditions must be agreed upon in writing by both parties.
11.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3 Failure by either party to enforce any right under this Agreement shall not be deemed a waiver of such rights.
